Open Licenses are registered licenses that give the right to use software products only to the legal entity specified in the license certificate and on the VLSC (Volume Licensing Service Center) website, the Center for Supporting Users of Corporate Licenses. The transfer of licenses from one legal entity to another requires official confirmation from Microsoft, is possible only under the terms of the agreement, and must be properly executed.

I. Request for License Transfer.

To obtain permission to transfer Open Licenses, the customer must submit the following documents to the Microsoft Information Center:

1. Scan of the completed and signed Perpetual License Transfer Form. The form in Russian must be downloaded from www.microsoft.com/licensing/contracts.

2. Copies of licenses, the numbers of which are indicated in the Form.

3. Documents confirming the reason for the transfer (only for licenses purchased after October 1, 2006)

Documents must be submitted by email [email protected], in the subject line of the letter you must indicate the full name of the contact person and the name of the company initiating the request. The size of the message with attachments should not exceed 7 MB. If there is no initial response from the Information Center employees within 5 working days, duplicate the request without attachments; attachments can be sent later.

The original Form remains with the client.

II. The Microsoft Information Center, on behalf of Microsoft Rus LLC, verifies the legality of the license transfer and, if necessary, requests additional supporting documents.

The terms for transferring licenses are described in the Microsoft Open License agreement, which is supplied with the license certificate, and is also available on the VLSC website by clicking on the link with the license number.

For convenience, some important restrictions are listed below:

 The license is transferable as a whole (you cannot split the license for use by multiple organizations).

 For Open Licenses purchased before December 7, 2009, all licenses issued under the same Authorization Number must be transferred. As an exception, it is possible to transfer part of the licenses issued under the same Authorization number between affiliates.

 Licenses may only be transferred to an affiliate or an unaffiliated third party due to:

o For licenses purchased from October 1, 2006 to December 7, 2009 - by merger, sale of assets or merger of an affiliate or divisions

o For licenses purchased after December 7, 2009 - by merger of enterprises or transfer of ownership of your enterprise

 Microsoft reserves the right to request documentation of any affiliation or affiliation, sale of assets, or merger.

 For Open Licenses purchased after November 1, 2007, the sale of licenses is expressly prohibited.

 For Open Licenses purchased after October 1, 2008, any action solely intended to transfer the Licenses to an unaffiliated third party for resale is also expressly prohibited.

 Transfer of licenses for personal operating systems, as well as Rental Rights licenses (licenses that give rights to rent), is possible only with computers.

 It is not permitted to transfer licenses for products obtained under the Software

Assurance (SA), separate from the original licenses for which the SA was purchased.

 Transfer of licenses on a short-term basis is prohibited.

 Transfer of licenses issued under the Open Charity program is prohibited.

 Academic Open License and Government Open License can only be transferred to users who have the appropriate status (educational or government organization).

III. Permission or refusal to transfer a license from the Microsoft Information Center is communicated via email to the organization that submitted the transfer request within 7-10 business days. In complex situations that require additional confirmation of the possibility of transmission, the period for providing a response may be extended.

A copy of the confirmation letter must be sent to the distributor:

 By default - to the distributor through whom the license was issued. The name of the distributor company is available on the VLSC website.

 If it is necessary to arrange a transfer through another distributor (for example, if the reseller no longer works with the original distributor), when forwarding the transfer request, the name of the correct distribution company must be indicated (1C; Lanit; ASBIS; Kvazar-Micro; MONT; OCS; Verysell distribution).

IV. To request final confirmation of the transfer from the copyright holder, Microsoft Ireland Operations Limited, and to complete the transfer, the customer must immediately provide to its reseller:

 A copy of the confirmation letter.

 Completed Perpetual License Transfer Form in scan form (paper form), as well as in electronic form (Word format).

V. Microsoft issues license certificates with the name and details of the receiving organization specified in the License Transfer Form. The set of products, license numbers, and maintenance period remain unchanged. New license certificates are transferred to the reseller, who, in turn, transfers them to the client. Because new license certificates contain the note “Not valid without original”, the transferring organization must transfer its license certificates to the receiving organization.

1. In the “Date of transmission” column, indicate the start date for filling out the form.

2. In the “Client” and “Recipient” forms, indicate the data of the transmitting and receiving parties, respectively. Fields marked with an asterisk are required.

3. In the “Reason for license transfer” column, indicate the reason on which the transfer is being made. If the reason does not correspond to any of the proposed options, check the “Other” box and describe on the right side

4. On page 3 in the “Client” and “Recipient” forms, indicate the data of the transmitting

and the receiving party respectively. In the “Signature” column you must

sign and seal the responsible persons indicated on the form.
